Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, software, and websites ("Services") provided by RouteKey Inc. ("RouteKey", "we", "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By creating an account or using any RouteKey Service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and accept these Terms on behalf of yourself or the organization you represent.

2. Description of Services

RouteKey provides an intelligent global edge routing platform, including AI-driven traffic management, a private backbone network, real-time analytics, and related APIs and tooling. Features and capabilities vary by plan as described on our pricing page.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@uat02.routekey.io of any unauthorized access.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation;
• Transmit malware, conduct denial-of-service attacks, or engage in port scanning without authorization;
• Circumvent, disable, or interfere with security features of the Services or third-party systems;
• Resell or sublicense RouteKey Services without prior written consent;
• Infringe or misappropriate intellectual property rights of any party.

We reserve the right to suspend or terminate accounts found in breach of this policy without prior notice.

5. Service Levels and Uptime

RouteKey targets the uptime SLAs described in your plan documentation. Professional plans include a 99.9% monthly uptime SLA; Enterprise plans include a 99.999% SLA with dedicated terms. SLA credits are the sole remedy for downtime. Credits do not apply to outages caused by third-party infrastructure outside our control, scheduled maintenance (notified 48 hours in advance), or customer-side configuration errors.

6. Payment and Billing

Fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in your plan documentation. We may modify pricing with 30 days' written notice. Continued use of the Services after the effective date constitutes acceptance of the new pricing.

Accounts more than 15 days past due may be suspended. Data is retained for 60 days after suspension before permanent deletion.

7. Intellectual Property

RouteKey retains all rights, title, and interest in the Services, including all underlying software, algorithms, models, and documentation. These Terms do not grant you any ownership rights. You retain ownership of any data you transmit through the Services; you grant RouteKey a limited licence to process that data solely to provide the Services.

8. Confidentiality

Each party agrees to protect the other's confidential information with at least the same degree of care it uses for its own confidential information, and no less than reasonable care. Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party without restriction.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available". To the maximum extent permitted by law, RouteKey disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, RouteKey's aggregate liability for any claims arising from these Terms or the Services shall not exceed the greater of (a) the fees you paid in the 12 months preceding the claim or (b) SGD 500. In no event shall either party be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold RouteKey harmless from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services in violation of these Terms or applicable law.

12. Termination

Either party may terminate these Terms with 30 days' written notice. RouteKey may terminate immediately for material breach of these Terms, non-payment, or unlawful use. Upon termination, your right to access the Services ceases and we will make your data available for export for 30 days.

13. Changes to Terms

We may revise these Terms from time to time. Material changes will be notified by email to registered account holders at least 14 days before taking effect. Continued use of the Services after the effective date constitutes acceptance. If you disagree, you may terminate your account before the effective date.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the SIAC Rules in Singapore.

15. General

These Terms constitute the entire agreement between you and RouteKey regarding the Services and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. RouteKey's failure to enforce any provision is not a waiver of that provision.
